Article 1 (Purpose)

These Terms set out the conditions for using the EverySim service provided by EverySim Inc. (the "Company") and the rights and obligations of the Company and its users.

Article 2 (Definitions)

  1. "Service" means the design, simulation and analysis features the Company provides on everysim.io and related domains, including EveryDrone, EveryStructure and EveryAero, along with cloud compute, storage and add-on features. Features announced as coming soon are not part of a purchased product unless separately agreed.
  2. "User" means an individual, company or organization that uses the Service. "Member" means a User who has accepted these Terms and created an account.
  3. "Consumer" means a User who buys the Service for personal rather than business use, as defined in Article 2(5) of the Korean Act on Consumer Protection in Electronic Commerce (the "E-Commerce Act"). "Business User" means any User who is not a Consumer.
  4. "Customer Data" means CAD geometry, meshes, analysis setups, results, reports and other material a User uploads to or creates with the Service.
  5. "Credits" are the units used to account for compute usage on the Service.
  6. "Paid Service" means any part of the Service used for a fee, including plans and Credits.

Article 3 (Posting and Changes)

  1. The Company posts these Terms on the Service website.
  2. The Company may change these Terms within the limits of applicable law. It announces each change, with its effective date and reason, at least 7 days in advance. Changes that are unfavorable to Users or material are announced at least 30 days in advance and also sent to the registered email address.
  3. If the Company clearly states in its notice under paragraph 2 that a User who does not object by the effective date will be deemed to accept the change, and the User does not object, the User is deemed to accept the revised Terms. A User who does not accept them may terminate the contract, and any remaining Paid Service is settled under Article 10.
  4. Pricing, Credit and refund policies the Company posts separately form part of these Terms. Where an individual contract between the Company and a User differs from these Terms, the individual contract prevails.
  5. These Terms do not limit any right that applicable law guarantees to Consumers.

Article 4 (Contract Formation and Accounts)

  1. The contract is formed when a User accepts these Terms, applies to sign up and the Company approves. The Company may refuse an application, or later terminate the contract, if the User gives false information, uses someone else's identity, has a history of restrictions, or raises a risk of breaking the law.
  2. Only people aged 14 or older can sign up. A minor needs a legal guardian's consent to buy a Paid Service, and the minor or the guardian may cancel a purchase made without that consent.
  3. A person signing up on behalf of a company or organization must be authorized to act for it. Admins of an organization account manage member accounts and access to Customer Data within the scope the Service provides.
  4. Members must keep their information accurate and their sign-in credentials secure, and must tell the Company immediately if they learn their account has been compromised. Losses caused by a Member's careless account management, without fault on the Company's part, are borne by the Member.

Article 5 (Provision, Changes and Suspension)

  1. The Company provides the Service with the features, term and compute and storage limits shown at purchase.
  2. The Company announces maintenance and changes in advance. If an emergency such as a security incident or outage makes advance notice impractical, the Company notifies Users promptly afterward.
  3. Before materially reducing a core feature of a Paid Service or ending the Service, the Company notifies affected Users individually 30 days in advance and lets them choose between an alternative service and termination with a refund for the unused portion.
  4. Features marked beta, preview or similar are provided for testing and may change or stop without notice.
  5. If the Company fails to provide a Paid Service through its own fault, it refunds the unused portion or, with the User's agreement, extends the term or restores Credits.

Article 6 (Fees and Payment)

  1. Before payment, the Company shows the product name, included features, term, price, currency and taxes, Credits granted and refund conditions.
  2. The seller (Merchant of Record) of Paid Services is Paddle.com Market Limited and its affiliates ("Paddle"). Payment, tax, receipts and refunds are handled under the Paddle Buyer Terms (https://www.paddle.com/legal/buyer-terms), while the Company provides the Service and technical support. The selling entity is shown on the checkout and the receipt.
  3. Users enter card numbers and other payment details directly on the Paddle checkout, and the Company does not store them.
  4. Subscriptions renew automatically at the interval and price shown at purchase. The Company tells Users the billing interval, next billing date, amount and how to cancel. Users can stop the next renewal at any time from the Paddle subscription page or via support@everysim.io, and keep access until the end of the period already paid for.
  5. For Consumer subscriptions, before raising the price or converting a free period into a paid subscription, the Company gives notice of the change, the old and new prices and how to cancel at least 30 days in advance and obtains consent. It does not charge on changed terms without that consent.
  6. The effective date and billing adjustments for a plan change follow what is shown on the plan-change screen. When a subscription ends, the account switches to the Free plan. Customer Data is not deleted, but creation and use beyond the new plan limits may be restricted.

Article 7 (Credits)

  1. Credits are shown separately as monthly Credits granted each billing cycle under a paid plan and top-up Credits purchased separately by the User. Monthly Credits are used first, and any shortfall is deducted from top-up Credits. Credits granted free of charge by the Company, such as sign-up and onboarding bonuses, are added to the top-up Credit balance.
  2. Simulations are charged after completion based on the computation actually performed. Other features, such as AI reports, deduct the number of Credits shown on the relevant screen. No Credits are deducted for failed jobs or jobs canceled by the User. If the Credit balance is insufficient when a simulation completes, no Credits are deducted and access to the results is restricted. The User can view the results by spending the required Credits.
  3. Monthly Credits do not roll over to the next billing cycle, and any remaining monthly Credits expire when the subscription ends. Top-up Credits do not expire and can be used regardless of the plan. The Company does not retroactively apply less favorable conditions to Credits already granted.
  4. Refunds of unused top-up Credits follow Article 10. Credits granted free of charge by the Company are not refundable. When part of the top-up Credit balance has been used, Credits granted free of charge are deemed to have been used first.
  5. Users may request restoration of Credits through the support screen within 30 days of their deduction for a simulation or other job. The Company reviews the reason and informs the User whether the request is approved. If approved, the Company grants the restored Credits.

Article 8 (User Obligations and Prohibited Conduct)

  1. Users must not:
    • Use someone else's information or sign up with false information
    • Upload material that infringes third-party intellectual property, trade secrets or personal data
    • Distribute malware, gain unauthorized access, circumvent security or billing, or scrape the Service in bulk by automated means
    • Copy, decompile, reverse engineer, resell or provide the Service software to third parties
    • Abuse resources in a way that disrupts normal operation, or otherwise break the law or these Terms
  2. Users must have the right to upload Customer Data and process it with the Service. A Business User indemnifies the Company and compensates its losses if a third party brings a claim against the Company arising from that User's Customer Data or breach of these Terms.
  3. Users must comply with applicable export control and sanctions laws, including the Korean Foreign Trade Act and the U.S. Export Administration Regulations (EAR). Sanctioned persons and residents of comprehensively sanctioned countries or regions may not use the Service, and no one may use it to develop weapons of mass destruction, missiles or other uses the law prohibits.
  4. If you find a security vulnerability in the Service, please do not exploit or disclose it and report it to support@everysim.io.

Article 9 (Restrictions and Termination)

  1. If a User breaches these Terms, the Company may, in proportion to the nature and severity of the breach, request correction, restrict features, suspend the account or terminate the contract. The Company gives advance notice of the reason and how to object, but in urgent cases such as a security breach it may act first and notify promptly afterward.
  2. Users can object via support@everysim.io, and the Company lifts the restriction if no breach is confirmed.
  3. Members can close their account at any time from within the Service or via support@everysim.io. Closing the account cancels subscriptions, permanently deletes the account and Customer Data, and forfeits any remaining Credits. Users who need a refund may apply under Article 10 before closing their account or contact support@everysim.io afterward.
  4. When the contract ends for a reason other than account closure, the Company settles any remaining Paid Service under Article 10. Users must export their Customer Data before termination, within what their plan supports, and the Company may delete Customer Data 30 days after termination. Deletion and statutory retention of personal data follow the Privacy Policy.

Article 10 (Withdrawal, Cancellation and Refunds)

  1. Under the E-Commerce Act, a Consumer may withdraw an order within 7 days of receiving the written contract terms (or of the start of service, if later). For digital content or services that started with the User's consent, withdrawal may be limited for the part already provided, to the extent the law allows, and the Company states this before payment.
  2. If the Service differs from what was displayed or advertised, or is performed differently from the contract, a Consumer may withdraw within 3 months of receiving it, or within 30 days of the date they learned or could have learned of this.
  3. A Consumer may cancel a Paid Service mid-term. For time-based products, the amount for the period used is deducted pro rata from the amount actually paid. For Credits, unused top-up Credits are refunded at the unit price paid. No cancellation fee is charged.
  4. Business Users may also receive a refund if they meet the conditions displayed on the payment history screen under paragraph 5. Otherwise, amounts and Credits already paid for are not refunded unless the Company is at fault or a refund is provided for in these Terms or an individual contract.
  5. Refunds can be requested from the payment history screen, via support@everysim.io or through Paddle support. The payment history screen shows the conditions for requesting a refund there. Credits granted by the refunded payment are reclaimed. The Company asks Paddle to process a refund within 3 business days of confirming the reason, and refunds go back to the original payment method. Depending on the payment provider, the funds may take longer to arrive.
  6. Stopping a subscription renewal and requesting a refund for the current period are separate requests. This Article does not limit any right that applicable law guarantees to Consumers.

Article 11 (Intellectual Property and Customer Data)

  1. Intellectual property in the Service, software, screens and material created by the Company belongs to the Company or the rightful owner. During the contract term, Users have a non-exclusive, non-transferable right to use the Service within the scope purchased.
  2. Rights in Customer Data belong to the User or the rightful owner. Users allow the Company to process Customer Data to the extent needed to provide, store, back up, support and secure the Service. The Company asks for no other transfer of rights.
  3. Users are free to use results generated from their own Customer Data for any commercial or non-commercial purpose, including research, design, manufacturing and delivery.
  4. The Company treats non-public Customer Data as confidential and limits access to employees and processors who need it for their work. Without the User's explicit permission, the Company does not use Customer Data to train general-purpose AI models, build datasets for other customers, advertise or publish case studies. If the law requires disclosure, the Company discloses only the minimum needed and tells the User where the law allows. This paragraph also covers material that non-member applicants share during demos and consultations.
  5. The Company may use feedback and suggestions Users give about the Service to improve it, without compensation.

Article 12 (Nature of Simulation Results)

  1. Simulation results are engineering reference data that depend on inputs, geometry, material properties, boundary conditions, physics models and numerical methods. The Company does not warrant that any individual result matches real physical behavior, except for specifications the Company has displayed, advertised or expressly guaranteed in a contract.
  2. Before decisions that affect safety, such as manufacturing, flight or operating structures, Users must carry out appropriate expert review, testing or statutory certification and inspection. Unless separately agreed, the Service does not replace statutory certification or inspection.

Article 13 (Liability)

  1. The Company and Users compensate each other under applicable law for damage caused by their own fault.
  2. The Company is not liable, to the extent it is not at fault, for failing to provide the Service due to causes beyond its reasonable control, such as natural disasters or telecom carrier outages.
  3. The Company's liability to a Business User is capped at the amount that User paid for the Service in the 12 months before the damage occurred, and the Company is not liable for indirect, special or consequential damages such as lost profits or secondary losses from data loss.
  4. Paragraph 3 does not apply to liability arising from the Company's intent or gross negligence, liability that cannot be excluded under applicable law, or liability to Consumers.
  5. The Company is not liable for damage caused solely by the User's fault.

Article 14 (Personal Data Protection)

The Company protects Users' personal data under its Privacy Policy. Accepting these Terms alone does not count as consent to any processing that needs separate consent or to receiving marketing. A Business User whose Customer Data includes personal data can request a Data Processing Agreement (DPA) via support@everysim.io.

Article 15 (Notices)

The Company may send notices to the User's registered email or post them in the Service. Email notices take effect when sent, and in-Service notices when posted. Users can send notices to the Company at support@everysim.io.

Article 16 (Governing Law and Disputes)

  1. These Terms are governed by the laws of the Republic of Korea. Consumers living outside Korea keep the rights that mandatory consumer protection laws of their country guarantee.
  2. The Company receives complaints and disputes at support@everysim.io and reports the outcome. Consumers may apply for dispute mediation under applicable law, for example through the Korea Consumer Agency.
  3. Lawsuits between the Company and a Consumer go to the court designated by the E-Commerce Act and other applicable laws. Lawsuits between the Company and a Business User go to the court with jurisdiction over the Company's head office as the court of first instance.

Article 17 (General Provisions)

  1. Users may not transfer their rights or obligations under these Terms to a third party without the Company's prior written consent.
  2. If any part of these Terms is held invalid, the rest remains in effect.
  3. These Terms are written in Korean. If a translation conflicts with the Korean version, the Korean version prevails.
  4. Articles 11, 12, 13 and 16 survive termination of the contract by their nature.

Addendum

These Terms take effect on November 2, 2026. Earlier versions are available on the Terms of Use page.
